E- Design Terms
By submitting a completed questionnaire, you acknowledge that you have read these Imbued Interiors E-Design terms and conditions (“Terms”) and agree to be bound by the Terms. Spacial Concepts LLC, an Illinois limited liability company, d/b/a Imbued Interiors (“we”, “our”, or “us”) reserves the right, at our sole discretion, to change, alter, or otherwise modify, in whole or in part, these Terms.
You shall pay 100% of the total project price (“Payment”) before we provide any designing services. The Payment must be paid using either Chase QuickPay to firstname.lastname@example.org (preferred) or PayPal.
NATURE AND SCOPE OF SERVICES:
Imbued Interiors E-Design Service is an online decorating service. Unless otherwise provided in the terms and conditions of the design package that you purchase, you acknowledge and agree that all communications and services (excluding the initial phone consult and revision call) will be provided by us to you solely by electronic means. All design suggestions and advice provided by us are provided to improve the aesthetic decor of your space. We do not make any guarantees regarding the compatibility of our designs with any architectural or structural conditions and standards of your space.
You are responsible for the final design of your space, as well as, for all furnishing and other product selections, including style, color, finish, fit, and size. While we may suggest certain designs or products as part of the services that we provide, we assume no liability for your final selection.
CANCELLATIONS & REFUNDS:
Due to the nature of design work, all sales are final. We will not issue any refunds. If you desire to terminate the design process for any reason prior to completion of the project, we will provide anything we have created (“Existing Items”) by the date of termination. Existing Items will belong to you.
Designing a new space takes time and creativity. Although every reasonable effort will be made to complete each E-Design project in a 2-3 week timeframe, you should consider all stated timelines to be estimates and not firm deadlines. However, any delays will be communicated to you, so that you may plan accordingly.
During the design process you are allotted a single 1-hour revision session by phone. In order to maximize design time and avoid additional design fees ($85 per hour), please gather all of your changes and be ready to discuss them live via a "joinme" call. Clear direction and specific communication regarding changes will increase the probability that the final result reflects your desired goal for the space.
SOURCED PRODUCTS AND SERVICES:
While we endeavor to work with businesses with reputations for providing high quality products and services, we are not responsible for examining or evaluating, and we do not warrant, the offerings of any third-party vendors or service providers (each, individually, a “Third Party” or, collectively, “Third Parties”) or any specific products or services provided by any Third Party. We are not responsible for delivery dates, scheduling matters, errors, or omissions related to any furnishings or other products or services purchased by you from any Third Party. You are entirely responsible for all site measurements and for ensuring that any furnishings or other products ordered through any website belonging to a Third Party can be delivered to your site and will fit through any entryways, hallways, elevators, up or down any stairways, and around any obstacles. Any purchases from Third Parties are entirely your responsibility, are at your risk, and are subject to any additional terms and conditions imposed by such Third Party. We are not responsible for the resolution of any dispute between you and any Third Party.
The Third Party is entirely responsible for repairing or replacing any damaged or defective product purchased from that Third Party. We waive all liability for product delivery, repairs, replacements, and returns for furnishings or other products ordered independently by you. In addition, we will not be responsible for any information, pricing, work product, completion dates, errors, or omissions of any contractor, subcontractor, or other Third Party hired by you to fulfill decorating or design suggestions provided by us.

This website may contain links to other websites on the Internet. You acknowledge that we have no control over such websites and you agree that we are not responsible for the accuracy, content, legality or any other aspect of any linked website. In no event shall any reference to any Third Party, Third Party website, or Third Party product or service be construed as an approval or endorsement by us of that Third Party, Third Party website, or Third Party product or service.
INTELLECTUAL PROPERTY RIGHTS:
Through your purchase of our E-design services (“Work Product”), we transfer and assign to you all rights, title, and interest in the Work Product, including all copyrights, as well as all renewals and extensions thereto. Notwithstanding the foregoing, immediately upon receipt of the rights, title, and interest in the Work Product, you shall grant us a nonexclusive, worldwide, irrevocable license to use the Work Product to create any derivatives of the Work Product (to which derivatives we will retain all rights, title, and interest, including all copyrights, as well as all renewals and extensions thereto) and to publicize our authorship of the Work Product and any derivatives thereof. You acknowledge and agree that we will be deemed the authors (as such term is defined in the U.S. Copyright Act) of the Work Product and any derivatives thereof.
If you request that we furnish materials, fixtures, or furniture, a separate document will be presented to you for approval and payment. You will be responsible for all taxes imposed on those transactions conducted in connection with your request. Taxes may include, without limitation, sales and use taxes. We are not responsible for notifying you of the taxes you may owe as a result of entering this transaction.
After you place an order and transfer the Payment to us, this document becomes the entire agreement between you and us and supersedes all earlier and simultaneous agreements regarding the subject matter, including, without limitation, any invoices, business forms, purchase orders, proposals, or quotes. We reserve the right to waive any of your obligations and our waiver of any of our rights will not be construed as a waiver of all of our rights.
BY PLACING AN ORDER AND SUBMITTING PAYMENT YOU AGREE TO THESE TERMS.
